TERMS & CONDITIONS

Welcome to GoldenKey Overseas (GKO), a registered trading company specializing in the export of high-quality construction materials, including but not limited to adhesives, sealants, waterproofing products, and related chemical goods. By engaging in any business transaction with GKO, you (the “Customer”) agree to be bound by the following Terms and Conditions.

1. DEFINITIONS

  • “GKO”, “We”, “Us”, or “Our” refers to GoldenKey Overseas.
  • “Customer”, “You”, or “Your” refers to any business entity or individual placing an order with GKO.
  • “Products” refer to the goods supplied by GKO, including adhesives, sealants, waterproofing solutions, and other construction-related materials.

  • “GCC” refers to member countries of the Gulf Cooperation Council.

2. PRODUCT INFORMATION

GKO ensures that all products are sourced, stored, and transported in compliance with international trade standards. Technical Data Sheets (TDS) and Material Safety Data Sheets (MSDS) are available upon request for all items.

3. ORDER ACCEPTANCE & PRICING

  • All quotations provided by GKO are valid for 30 days unless otherwise stated.
  • Orders are considered confirmed only upon written acknowledgment from GKO.
  • Prices are EXW/FOB/CIF depending on the agreement and will include necessary documentation and packaging costs unless stated otherwise.

  • Customs duties, VAT, or any applicable local taxes in the destination country are to be borne by the Customer.

4. PAYMENT TERMS

  • Standard payment terms are 100% advance or as agreed in writing.
  • GKO reserves the right to delay or withhold shipment if payment terms are not met.
  • All payments shall be made in USD unless agreed otherwise.

5. DELIVERY & SHIPPING

  • Shipping timelines vary based on the destination and quantity of order.
  • GKO is not liable for delays caused by unforeseen events including force majeure, customs clearance issues, or shipping disruptions.

  • Risk of loss and title pass to the Customer upon shipment from GKO’s warehouse or designated port.

6. PRODUCT WARRANTY & CLAIMS

  • Products are warranted to meet the specifications stated at the time of sale.
  • Any claims regarding quantity discrepancy or visible damage must be reported within 7 days of receipt.

  • Warranty is limited to product replacement or credit at GKO’s discretion and does not cover misuse, improper storage, or application beyond recommended usage.

7. COMPLIANCE & CERTIFICATIONS

  • GKO ensures compliance with international export regulations and works with manufacturers holding ISO and other relevant certifications.

  • The Customer is responsible for ensuring that the import and use of the product is legal in their jurisdiction.

8. INTELLECTUAL PROPERTY

All content, branding, and documentation provided by GKO are the intellectual property of the company and cannot be reproduced, republished, or used without prior written consent.

9. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gautam Budh Nagar, India.

10. MODIFICATIONS

GKO reserves the right to amend these Terms and Conditions at any time without prior notice. The most current version will always be available upon request or accessible via our official communications.
